Terms of Use

1. Acceptance and eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. Accounts and tenants

Registration creates a tenant organization and a tenant-owner account. You are responsible for maintaining the confidentiality of credentials, for all activity under your tenant, and for the accuracy of information you provide. Notify us promptly at support@balthroplogic.com of any unauthorized use. Platform administration access is separate from tenant access and is restricted to authorized personnel.

3. Subscriptions and billing

Paid plans, features, prices, and limits are described on the pricing page and are controlled by the platform owner. Payments are processed by our third-party payment processor; we do not store full payment card details. Unless otherwise stated, subscriptions renew automatically at the end of each billing interval until cancelled through the billing center. Fees are non-refundable except where required by law or expressly stated otherwise. We may change plan pricing or features with reasonable advance notice effective at your next renewal.

4. Acceptable use

You agree not to: (a) violate any applicable law or third-party right; (b) upload or generate content that is unlawful, infringing, deceptive, or harmful; (c) attempt to gain unauthorized access to the Services, other tenants' data, or platform administration; (d) probe, scan, overload, or disrupt the Services; (e) resell or provide the Services to third parties except as permitted by your plan; (f) use the Services to send spam or unsolicited communications in violation of applicable law; or (g) misrepresent AI-generated content as human-created where disclosure is required by law or platform policy.

5. Your content and AI output

You retain ownership of the brand materials, text, images, and other content you submit ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to operate and improve the Services for you. The Services use third-party AI providers to generate text, images, video plans, and related output ("Output"). Subject to these Terms and the applicable AI providers' terms, you may use Output for your business purposes. AI Output may be inaccurate or similar to output generated for others; you are responsible for reviewing Output before relying on or publishing it.

6. Likeness, voice, and consent

The AI Video and Avatar Studio may create avatars or synthetic media based on a person's name, image, likeness, or voice. You must have documented, verifiable consent from each real person depicted before creating or rendering such media, and you must comply with all applicable publicity, privacy, and synthetic-media disclosure laws. We may require consent attestations and may suspend rendering for content that lacks them.

7. Third-party integrations

The Services can connect to third-party platforms (for example LinkedIn, Facebook, Instagram, X, and YouTube for publishing, and Stripe for payments). Your use of those platforms is governed by their own terms and policies. We are not responsible for third-party services, and connected features may change or stop working if a third party changes its APIs or policies. You authorize us to store encrypted access tokens needed to perform actions you request.

By connecting a YouTube channel, you also agree to the YouTube Terms of Service, and you acknowledge that Google's handling of your information is described in the Google Privacy Policy. You represent that you have authority over any channel, Page, or account you connect, and you — not Balthrop Logic — are responsible for the content of posts and videos you direct the Services to publish, including any legally required synthetic-media disclosures. You may revoke the Services' access to your Google account at any time in the Publishing Center or via your Google security settings. Our handling of Google user data is described in the Privacy Policy.

8. Intellectual property

The Services, including software, design, and documentation, are the proprietary property of Balthrop Logic Technologies LLC and its licensors and are protected by intellectual-property laws. Except for the limited right to use the Services under your plan, no rights are granted to you. You may not copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law.

9. Availability and changes

We work to keep the Services available but do not guarantee uninterrupted or error-free operation. We may modify, add, or remove features, and may perform maintenance that temporarily limits availability. Where a change materially reduces core paid functionality, we will provide reasonable notice.

10. Disclaimers

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALTHROP LOGIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THAT PERIOD (OR ONE HUNDRED U.S. DOLLARS IF YOU PAID NOTHING). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Suspension and termination

You may stop using the Services and cancel your subscription at any time through the billing center. We may suspend or terminate access for material breach of these Terms, non-payment, legal risk, or security concerns, with notice where practicable. Upon termination, your right to use the Services ends; data retention and deletion are handled as described in the Privacy Policy. Sections that by their nature should survive termination will survive.

13. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia and applicable United States federal law, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally by contacting support@balthroplogic.com. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Virginia, and each party consents to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, additional notice within the Services. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
